Welcome to TownKart. These Terms & Conditions govern your use of our platform and services provided by Unthinkable Solutions LLP ("we," "us," or "TownKart"), located at 9th Floor, Building B-1, DLF Silokhera, Sector-30, Gurugram-122001, Haryana.

1. Services

We provide the following services through our platform:

• Listing of your store on the TownKart platform for hyperlocal discovery
• Development of a personalized e-commerce website for managing online sales
• Integration with delivery partners for order fulfillment
• Technical support, including bug resolution and platform maintenance

2. Your Obligations

By using our platform, you agree to:

• Pay a monthly subscription fee of Rs. 5,000 in advance
• Provide necessary details and documentation for listing and website setup
• Manage your store operations, including product listings, inventory, pricing, and customer support
• Comply with all applicable laws and platform policies
• Ensure all content is accurate, lawful, and doesn't infringe on third-party rights
• Display and sell only legal products and services

3. Payment Terms

3.1 Subscription Fees

• Monthly fees are due by the same every month as the first subscription date
• Late payments incur 12% interest
• Services may be terminated after 7 days of non-payment

4. Service Limitations

Please note that:

• The platform may occasionally experience technical issues
• We will make reasonable efforts to resolve technical problems promptly
• We are not responsible for third-party delivery failures or delays

5. Liability & Indemnification

5.1 Limitation of Liability

We are not liable for:

• Direct, indirect, or consequential damages
• Loss of profits or business opportunities
• Service interruptions
• Third-party actions

5.2 Your Indemnification Obligations

You agree to protect us against claims arising from:

• Your breach of these terms
• Content you upload or display
• Third-party intellectual property claims
• Violations of laws or regulations

6. Term and Termination

• Initial subscription period: 12 months
• Either party may terminate with 15 days' notice
• We may terminate immediately for terms violations
• Payment obligations survive termination

7. Additional Terms

7.1 Intellectual Property

• We own all intellectual property rights related to our services
• Both parties must maintain confidentiality of sensitive information

7.2 Liability Limit

• Our liability is limited to three months of paid subscription fees
• Exceptions apply as provided by law

7.3 Legal Framework

• Amendments must be in writing
• These terms supersede prior agreements
• Governed by Indian law
• Subject to jurisdiction of Saket court, Delhi
